Welcome to PushFeedback, a service provided by Volcanic Labs SLU. These terms and conditions ("Terms") govern your use of our website, products, and services (collectively referred to as the "Services"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Services.
1. Intellectual Property
All content, excluding user-generated content, and materials available on our website and through our Services, including but not limited to text, graphics, logos, images, and software, are the property of PushFeedback or its licensors and are protected by applicable intellectual property laws. You may not use, modify, reproduce, distribute, or create derivative works of any content or materials without our prior written consent. Any feedback or suggestions you provide about the PushFeedback service (e.g. product ideas, feature requests, or usability comments) may be used by us without obligation and remains the intellectual property of PushFeedback. For the avoidance of doubt, this clause applies solely to feedback relating to the PushFeedback service itself. End-user feedback collected through the widget by you or your users remains your exclusive property.
2. Use of Services
You agree to use our Services in compliance with all applicable laws and these Terms. Any activities conducted through your account are your sole responsibility. Unauthorized or inappropriate use, including violations of laws, regulations, or infringing on others' rights, will result in account cancellation.
3. Privacy and Data Protection
Our Privacy Policy, compliant with the General Data Protection Regulation (GDPR), governs the collection, use, and disclosure of your personal information. By using our Services, you consent to the practices described in our Privacy Policy.
4. Data Processing Agreement
By using our Services, you also agree to the terms of our Data Processing Agreement (DPA), unless you have a separate agreement with us. Please review the DPA for detailed information regarding data processing practices.
5. Service Availability and Warranty
Our Services are provided "as is," without warranties of any kind, whether expressed or implied. While we strive for excellence, we cannot guarantee uninterrupted service, timely availability, or that the Services will be error-free or free from harmful components. For enhanced service levels, consider purchasing a Service Level Agreement (SLA) by contacting us at hi@techdocs.studio.
6. Confidential Information
1. Definition. "Confidential Information" means any information disclosed by one party to the other, whether orally or in writing, that is designated as confidential or that reasonably should be understood to be confidential given its nature and the circumstances of disclosure. For the avoidance of doubt, your Confidential Information includes the Inputs and all Outputs; our Confidential Information includes our non-public technology and pricing.
2. Obligations. The receiving party will use the same degree of care that it uses to protect its own confidential information of a like nature (but not less than reasonable care) and agrees not to use or disclose any Confidential Information of the disclosing party for any purpose outside the scope of this Agreement.
3. Exclusions & Compelled Disclosure. This clause does not apply to information that is (a) publicly available without breach of this Agreement, (b) lawfully received from a third party, or (c) independently developed. A party may disclose Confidential Information if required by law, provided it gives the other party prior notice of such compelled disclosure (if legally permitted). Upon termination, each party will return or destroy all Confidential Information of the other.
7. Payments, Cancellations, and Refunds
Details about our pricing, plans, and their features are available at https://pushfeedback.com#pricing.First-time subscriptions: New subscribers receive a free trial. After the trial, initial payments for paid subscriptions are non-refundable.
Monthly subscriptions renewals: If you cancel a monthly subscription, no further charges will be made. However, there are no refunds for the current month. You will retain access until the billing period ends.
Annual subscription renewals: If you cancel within 30 days of renewal, a full refund will be issued. Cancellations after 30 days will not be refunded, but you will retain access for the remainder of the subscription year.
8. Feedback Interactions
By installing and using the PushFeedback widget on your website, you agree to handle all interactions, including any personal data shared by users, in compliance with applicable privacy laws such as GDPR. You are responsible for ensuring that your use of the widget and any associated data is lawful and in accordance with your privacy policies. PushFeedback is not liable for any misuse of user data collected through the widget on your website.
When you engage with a widget provided by PushFeedback and installed on a client's website, you acknowledge that the content of those interactions, including personal data, may be shared with the respective client for the purpose of providing the widget service. All such data is subject to confidentiality agreements and will be handled securely in accordance with GDPR and other applicable privacy laws.
8. Open-Source License
PushFeedback offered a complimentary Starter license to open-source projects that meet the following requirements. By using this license, you agree to these additional terms, which supplement the general Terms of Service:
- Logo display: You are required to display the "PushFeedback" logo on your feedback widget as a condition of the free license.
- Open-source code: Your project and docs must remain fully open-source, with publicly accessible code repositories, throughout the duration of your license.
- Public accessibility: The website or platform where PushFeedback is used must remain publicly accessible to users.
- Promotional use: By joining the open-source plan, you grant PushFeedback permission to use your project's logo, brand name, and testimonials for promotional purposes. This includes use on our website, marketing materials, and other communications.
PushFeedback reserves the right to review the eligibility of any open-source project for this plan at any time. If the requirements are no longer met, PushFeedback may revoke the free license. We also reserve the right to modify or discontinue the open-source plan at any time, with prior notice.
9. Use of Logos and Branding
By using our Services, you grant PushFeedback the right to use your company logo, name, and other branding elements on our promotional materials, website, and marketing content. This may include but is not limited to case studies, customer testimonials, or product listings. We may use your logo to highlight your use of our Services as part of our business development and marketing efforts.
If you do not wish for your company logo or name to be used in such promotional materials, you can opt out by sending an email request to info@techdocs.studio. Upon receipt of your request, PushFeedback will promptly cease using your branding in any future promotional content.
10. Termination and Account Suspension
Either party may terminate the service agreement at any time by providing written notice to the other party. Upon termination, you will no longer have access to our Services, and any outstanding fees will become due. Termination does not affect your obligations to pay any amounts owed prior to termination.
PushFeedback reserves the right to suspend or terminate your account immediately if you violate these Terms, engage in illegal activities, or misuse our Services. Suspension or termination of your account may also occur if you fail to pay the required subscription fees or if your use of our Services poses a security or compliance risk.
In case of account suspension, you will be notified via the email associated with your account. Suspension may be lifted once the issue is resolved. If you fail to resolve the issue, PushFeedback may proceed with account termination. Termination or suspension of your account does not relieve you from any obligations incurred before such action was taken.
11. Limitation of Liability
To the maximum extent permitted by law, PushFeedback and its affiliates, partners, directors, officers, employees, and agents disclaim all liabilities, be it direct, indirect, incidental, or consequential, arising from the use of our Services.
In any event, our total liability to you, for any and all claims, will be limited to the amount of fees you have paid for the Services in the 12 months preceding the claim.
12. Governing Law and Jurisdiction
These Terms are governed by the laws of Spain. Any disputes arising from these Terms or your use of our Services will be subject to the exclusive jurisdiction of the courts in Santa Cruz de Tenerife, Spain.
13. Modifications to Terms
PushFeedback may modify these Terms occasionally. Continued use of our Services post-modification implies your acceptance of the revised Terms.
14. Force Majeure
Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, or acts of civil or military authorities.
